Terms and Conditions

Our services are intended for individuals who are at least 18 years of age or the age of legal majority in their jurisdiction, whichever is greater. By using our services, you represent and warrant that you meet these age requirements. You agree to indemnify, defend, and hold harmless Strata Decimal, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:

• Your violation of these Terms and Conditions
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Any content or information you provide to us

You are solely responsible for ensuring that your use of our services complies with all applicable laws, regulations, and professional standards in your jurisdiction. This includes, but is not limited to, laws related to privacy, data protection, financial services, and professional conduct. We make no representation that our services are appropriate or available for use in all locations.

Your interactions with third-party service providers, advertisers, or other users found through our services are solely between you and such third parties. You acknowledge and agree that we are not responsible or liable for any loss or damage incurred as a result of such interactions or the presence of such third parties on our website.

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties that our services will be uninterrupted or error-free
• Warranties that defects will be corrected

To the maximum extent permitted by applicable law, Strata Decimal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, whether in an action in contract, tort, or otherwise, arising from or relating to:

• Any unauthorized access to or alteration of your data
• Any third-party content or conduct on our services
• Any interruption or cessation of our services
• Any bugs, viruses, or harmful code transmitted through our services

Our total liability to you for all claims arising from or related to our services shall not exceed the amount you have paid us in the twelve months preceding the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.

In no event shall we be liable for any consequential, indirect, or incidental damages, including but not limited to lost profits, business interruption, loss of data, or loss of business opportunities, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

We shall not be liable for any failure or delay in performance of our obligations under these terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any principles of conflicts of law. You agree to submit to the personal and exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for the resolution of any disputes arising from or relating to these terms or your use of our services.

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us. We will work in good faith to resolve the matter through discussion and negotiation. If we cannot resolve the dispute within 30 days, either party may pursue legal remedies.

Any claim or cause of action arising from or related to your use of our services must be filed within one year after such claim or cause of action arose, or it shall be forever barred.

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severable and will not affect the validity and enforceability of the remaining provisions. The remaining provisions shall continue in full force and effect.

We reserve the right to modify these Terms and Conditions at any time. When we make changes, we will update the "Last updated" date at the top of this page. Material changes will be communicated to users through email or a notice on our website. Your continued use of our services after such modifications constitutes your acceptance of the updated terms.

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and Terms of Service, constitute the entire agreement between you and Strata Decimal regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.
